These Terms of Service (the "Terms") govern your access to and use of the website saplanat.com (the "Site") and the services provided by Saplanat Digital Marketing ("we," "us," or "our"), including digital marketing and advertising management services and related integrations with third-party advertising platforms such as Google Ads (collectively, the "Services"). By accessing the Site or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Site or engaging us to provide the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Site or the Services. If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Services

We provide digital marketing and advertising management services, which may include the creation, management, and optimization of advertising campaigns on behalf of clients, reporting and analytics, and related consulting. The specific scope, duration, and commercial terms of any engagement are set out in a separate written agreement, quotation, or order form between us and the client. In the event of a conflict, that separate agreement prevails over these Terms.

3. Eligibility

The Services are intended for businesses and for individuals who are at least 18 years old and able to enter into legally binding contracts. The Services are not directed to individuals under the age of 16.

4. Client Responsibilities

When you use the Services, you agree to:

• Provide accurate, current, and complete information, including any materials, product data, or account details required to deliver the Services.
• Grant and maintain the access rights we reasonably need to operate advertising accounts on your behalf, and promptly notify us of any change or withdrawal of such access.
• Ensure that all content, trademarks, product claims, and materials you supply are lawful and that you hold the necessary rights to use them.
• Comply with applicable laws and with the policies of the advertising platforms and marketplaces on which your campaigns run.
• Be responsible for advertising spend payable to third-party platforms, unless expressly agreed otherwise in writing.

6. Fees and Payment

Fees for the Services, payment schedules, currencies, and invoicing terms are those stated in the separate agreement or invoice applicable to the engagement. Unless stated otherwise, fees for our services are separate from any amounts payable directly to advertising platforms. Late payment may result in suspension of the Services.

7. Intellectual Property

The Site and its content, including text, graphics, logos, and software, are owned by us or our licensors and are protected by applicable intellectual property laws. You retain ownership of the materials you provide to us. You grant us a non-exclusive licence to use those materials solely to deliver the Services during the term of the engagement. Nothing in these Terms transfers ownership of either party's intellectual property to the other.

8. Confidentiality

Each party may receive non-public information belonging to the other. Both parties agree to keep such information confidential, to use it only for the purposes of the engagement, and to protect it with reasonable care, except where disclosure is required by law.

Except as expressly stated in a separate written agreement, the Site and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Site or the Services. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services shall not exceed the total service fees paid by the client to us for the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Term and Termination

Either party may terminate an engagement in accordance with the separate agreement between us. We may suspend or terminate access to the Site or the Services if you breach these Terms, if required by a third-party platform, or if required by law. Provisions that by their nature should survive termination — including confidentiality, intellectual property, disclaimers, and limitation of liability — shall survive.

13. Indemnity

You agree to indemnify and hold us harmless from third-party claims arising out of materials or instructions you provide, your products or services, or your breach of these Terms or of applicable platform policies or laws.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Antalya, Türkiye shall have jurisdiction over any dispute arising out of or relating to these Terms, without prejudice to any mandatory rights you may have under the laws of your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date and will be effective as soon as it is accessible. Continued use of the Site or the Services after changes take effect constitutes acceptance of the updated Terms.
